THIS SWEEPSTAKES IS OFFERED ONLY IN THE FIFTY (50) STATES OF THE UNITED STATES (“U.S.”) AND THE DISTRICT OF COLUMBIA (“D.C.”) AND CANADA (EXCLUDING QUEBEC) AND IS INTENDED FOR PARTICIPATION IN THOSE AREAS ONLY.  PLEASE DO NOT PROCEED IF YOU ARE NOT OF THE AGE OF MAJORITY OR OLDER IN THE JURISDICTION IN WHICH YOU RESIDE AS OF SEPTEMBER 8, 2024 AND A PERMANENT LEGAL RESIDENT OF ONE OF THE FIFTY (50) STATES OF THE U.S. OR D.C. OR CANADA (EXCLUDING QUEBEC). THIS SWEEPSTAKES SHALL BE CONSTRUED AND GOVERNED ACCORDING TO THE LAWS OF THE U.S. 

1. Eligibility: The Wheel of Fortune My$tery Wedge $10K Giveaway XX (“Sweepstakes”) is open only to permanent legal residents of the fifty (50) states of the U.S. and D.C. and Canada (excluding Quebec, Guam, Puerto Rico and all other U.S. territories and possessions) who are currently physically located and residing therein, who are of the age of majority or older in the jurisdiction in which they reside as of September 8, 2024, and who are registered and active Wheel Watchers Club members as detailed in Section 3 below. Entrants must have either a valid Social Security number, a valid U.S. Individual Taxpayer Identification Number and/or a valid Social Insurance Number to participate. Employees of Quadra Productions, Inc. (“Sponsor”), Sony Pictures Television Inc., Sony Pictures Entertainment Inc., Sony Corporation of America, CBS Media Ventures, Wheel of Fortune (sometimes referred to as “Show”), Promotional Consideration Inc., Enteractive Solutions Group, Inc. (“Sweepstakes Administrator”), their advertising, promotion, and web design agencies, marketing and/or loyalty analytics companies, participating stations, stations airing Show, cable operators, streaming services, any agents acting for, or on behalf of the above entities, their respective parent, subsidiary, and related companies, officers, directors, subsidiaries, affiliates, licensees, service providers, SaaS providers, prize suppliers, any other person or entity associated with the Sweepstakes (each a “Sweepstakes Entity” and collectively as “Sweepstakes Entities”), members of their immediate families (i.e. a spouse, domestic partner, child, sibling, parent, grandparent, the “steps” of each), and/or persons living in the same household as such persons, whether or not related, are ineligible to participate in the Sweepstakes.

2. Sweepstakes Description: The Sweepstakes begins at 11:59:59 p.m. Pacific Time (“PT”) on September 8, 2024 and ends at 11:59:59 p.m. PT on January 19, 2025 (“Sweepstakes Period”). This Sweepstakes consists of ten (10) individual sweepstakes drawings (each referred to as an “Individual Sweepstakes”). Each Individual Sweepstakes has its own registration deadline (“Registration Deadline”), Show weeks (“Show Weeks”) and login date (“Login Date”). See Registration Deadline chart (“Chart”) below for the Registration Deadline of each Individual Sweepstakes. To participate in the Sweepstakes, registered Wheel Watchers Club members who have a unique 7-character or 9-character “Special Prize Identification Number” (“SPIN ID Number”) will have a chance to win a prize (as detailed below) when the applicable Individual Sweepstakes is played. The potential winning of any prize is subject to verification, as set forth below.At the election of the Show, in its sole discretion, the Sweepstakes will be played up to five (5) days per week (Monday to Friday only) starting the week of September 9, 2024 and ending the week of January 27, 2025 (for nineteen (19) weeks or the “Show Weeks”, collectively, the “Show Period”); however, for the weeks of December 9, 2024 and December 16, 2024, the Sweepstakes will not be played. Check local listings for Show schedule, which may be changed or preempted without notice for any reason (e.g., due to changes to the production schedule, production shutdown, etc.). In these cases, at the election of the Show, the Sweepstakes may be run outside the stated dates and times, or not at all, and/or individual episodes of the Show and their corresponding SPIN ID Numbers may be aired on dates different than originally scheduled, or not aired at all. 

    

3. How to Participate: YOU MUST HAVE ONLINE ACCESS TO PARTICIPATE IN THIS SWEEPSTAKES.  TO PARTICIPATE, YOU MUST HAVE A SPIN ID NUMBER.  IF YOU ALREADY HAVE A SPIN ID NUMBER, YOU MUST USE THAT SPIN ID NUMBER IF YOU WANT TO PARTICIPATE IN THIS SWEEPSTAKES UNLESS YOU CHOOSE OR HAVE CHOSEN TO OPT OUT OF SUBSEQUENT SWEEPSTAKES OR YOU HAVE CANCELLED YOUR WHEEL WATCHERS CLUB MEMBERSHIP IN WHICH CASE YOU WILL NEED TO REGISTER FOR THE WHEEL WATCHERS CLUB AGAIN AS DESCRIBED BELOW. To be assigned a SPIN ID Number, if you do not have one, you must first register for the Wheel Watchers Club. 

1. If you are already a registered Wheel Watchers Club member, you can obtain your SPIN ID Number by logging into the Wheel Watchers Club website located at www.wheeloffortune.com (“Website”) using your Wheel Watchers Club email address and Password. 

    

   1. If you are not a registered Wheel Watchers Club member, you can register by accessing the Website and following the online instructions to join the Wheel Watchers Club by providing the following required information on the registration form: First Name, Last Name, Zip/Postal Code, Gender, Phone Number, Email Address, Date of Birth, and your choice of Password (collectively, “Wheel Watchers Club Registration Information”). The Wheel Watchers Club Registration Information must match the information of the person that completed the act of physically entering the Sweepstakes. Once you have submitted your Wheel Watchers Club Registration Information, you will receive one (1) SPIN ID Number in a new members’ email that will be sent to you. It may take up to twenty-four (24) hours from the time an individual registers for the Wheel Watchers Club to receive a SPIN ID Number.

There is no fee to register for the Wheel Watchers Club or to be a Wheel Watchers Club member.  All Wheel Watchers Club Registration Information must be completed in full, accurate, and valid. 

To be eligible for a particular Individual Sweepstakes drawing, you must register by the Registration Deadline for that particular Individual Sweepstakes (see Chart below); or, YOU MUST HAVE LOGGED IN TO THE WHEEL WATCHERS CLUB WEBSITE AT LEAST ONCE SINCE THE CORRESPONDING LOGIN DATE (SEE CHART BELOW). For example, for Individual Sweepstakes #2, you must have registered by September 22, 2024 or have logged in to the Wheel Watchers Club at least once since March 22, 2024. Each SPIN ID Number is unique and is assigned to one (1) person/account and never retired, reassigned, or reissued, and any variation of even one (1) character represents a different Wheel Watchers Club member SPIN ID Number.

You can only register and participate in this Sweepstakes under one (1) email address and one (1) SPIN ID Number.  Individuals who have or attempt to have more than one (1) SPIN ID Number will be disqualified from the Sweepstakes. Once an email address has been registered by an entrant, that email address cannot be used by any other person for the Sweepstakes. Only the individual who registers a particular email address may participate in the Sweepstakes using that email address. Registrations received by the same person to obtain more than one (1) SPIN ID Number may be disqualified.

Sponsor’s computer is the official clock for purposes of Sweepstakes participation. Proof of delivery or receipt of a registration will not be deemed by Sponsor as proof of receipt by Sponsor. Any attempted form of participation in the Sweepstakes other than as described herein is void. Limit one (1) SPIN ID Number per person for the entire Sweepstakes Period. The Website may not be accessible from all mobile phones, handheld devices and/or tablets. Any entrant who experiences any issues entering should access the website from a desktop or laptop computer and/or try switching web browsers. Entrants should use care and not drive or operate machinery while entering the Sweepstakes.

4. Drawing of SPIN ID Numbers: For each Individual Sweepstakes drawing, up to five (5) SPIN ID Numbers for each Show Week (one (1) SPIN ID Number for each day from Monday to Friday only) (described in Section 5 below) will be randomly selected from all eligible SPIN ID Numbers at the time of the Registration Deadline for that particular Individual Sweepstakes (see Chart above) with the exception of the weeks of December 9, 2024 and December 16, 2024, wherein the Sweepstakes will not be played. Non-winning eligible SPIN ID Numbers from previous drawings will be retained for subsequent drawings and thus, will be automatically registered in subsequent Individual Sweepstakes. All drawings will be held on the day immediately following the respective Registration Deadline (beginning June 9, 2024), by the Sweepstakes Administrator, an independent judging organization, at their offices in Burbank, CA. At the election of the Show, in its sole discretion, an Individual Sweepstakes drawing may not be conducted on a given drawing date due to production exigencies. For those instances in which a drawing is not conducted on a given drawing date, additional selections will be made in the prior or subsequent drawing or on a new drawing date determined by Sponsor in its sole discretion.

    

5. Notification and Verification of Potential Winners: For each Show Week, the applicable Individual Sweepstakes will be played in up to five (5) of the Show’s broadcasts (Monday to Friday only), in Sponsor’s sole discretion, with the exception of the weeks of December 9, 2024 and December 16, 2024, wherein the Sweepstakes will not be played. On each of the Show broadcasts (Monday through Friday only), if during the Mystery Round, the Mystery Wedge is landed on by a Show contestant who then picks up the wedge and is able to solve the current puzzle, a QR code and copy will be shown on the screen directing people to the Website and the one (1) SPIN ID Number that was randomly selected in the Individual Sweepstakes drawing for that particular Show episode will be available for verification on the Website for twenty-four (24) hours to all logged in Wheel Watchers Club members. If the Mystery Wedge is not landed on, or if the Show contestant does not pick up the wedge or solve the current puzzle, then no prize will be awarded for that respective Show episode and no SPIN ID Number will be available for verification on the Website that night. The entrant associated with a selected SPIN ID Number is a potential winner (subject to verification and compliance with the Official Rules) and must then confirm their SPIN ID Number by logging in to the Website and following the online instructions (“Online SPIN ID Number Verification”). If such entrant does not complete such Online SPIN ID Number Verification within twenty-four (24) hours of when their respective SPIN ID Number was available for verification on the Website or has unsubscribed from Wheel Watchers Club membership at the time the Sweepstakes is played, they may be disqualified and forfeit any eligibility for that prize. Upon submission of Online SPIN ID Number Verification information, entrant will be notified as to whether they are a potential winner. IT IS A POTENTIAL WINNER’S RESPONSIBILITY TO COMPLETE ONLINE VERIFICATION WITHIN THE CORRESPONDING TWENTY-FOUR (24) HOUR VERIFICATION PERIOD TO BE ELIGIBLE FOR A PRIZE. NOTE: THE ABILITY TO COMPLETE ONLINE SPIN ID NUMBER VERIFICATION BY AN ENTRANT WHOSE SPIN ID NUMBER WAS AVAILABLE FOR VERIFICATION ON THE WEBSITE MAY BE AFFECTED IF A SHOW EPISODE THAT WAS ORIGINALLY SCHEDULED TO AIR ON A PARTICULAR DATE IS MOVED (REGIONALLY OR NATIONALLY) TO ANOTHER DATE, AS DESCRIBED IN SECTION 2 ABOVE. If the entrant is a potential winner, such potential winner will then be notified by phone within approximately three (3) business days of the date they completed their Online SPIN ID Number Verification to complete an Affidavit/Release (described below in Section 7). If a potential winner cannot be reached after a reasonable effort has been exerted, if they are found to be ineligible, or if they cannot or do not comply with these Official Rules, such potential winner will be disqualified, and the prize will not be awarded. If a Canadian entrant is randomly selected as a potential winner, they must answer correctly within a specified time a mathematical skill-testing question without the benefit of any mechanical calculating devices. The test will be administered by the Sweepstakes Administrator at a pre-arranged mutually convenient time, and only if the question is answered correctly in the allotted time period will the Canadian entrant become a potential prize winner. If the question is not correctly answered in the allotted time period, prize will be forfeited.   

6. Prizes/Odds of Winning:  If the Show is playing teams, only a single cash prize will be awarded in the applicable Individual Sweepstakes for that particular Show episode. At no time will more than one (1) cash prize be awarded in an Individual Sweepstakes for a given Show episode. Only one (1) winner per Individual Sweepstakes per Show episode will be selected as described below. Cash prizes will be potentially awarded every Show episode, however, the fulfillment of said prize is subject to eligibility verification as further described in section 7. There is the possibility that up to ninety-five (95) cash prizes will be awarded during the entire Sweepstakes Period. The cash prizes will be $10,000 USD awarded in the form of a check made out in the name of the winner. Total approximate retail value (“ARV”) of all prizes is up to $950,000.00 USD. Odds of winning a prize depend on the number of eligible registrations received at the time of the Registration Deadline for that particular Individual Sweepstakes drawing and a 1 in 24 chance the Mystery Wedge is landed on by a Show contestant who then picks up the wedge (i.e., is able to correctly guess a letter in the current puzzle) and thereafter correctly solves the current puzzle during an applicable Show episode. The number of prizes awarded depends on the number of times the Sweepstakes is played and the number of Wheel Watchers Club members with SPIN ID Numbers that were available for verification on the Website who complete the verification of their eligibility as described in Section 5 above. All applicable federal, state, provincial, territorial, or other tax liabilities (including but not limited income taxes or U.S. withholding taxes for Canadian daily sweepstakes prize winners, if applicable) on a prize are the sole responsibility of each winner. The policy of the Sponsor requires withholding tax obligations to be collected from a Canadian winner prior to the award of a prize. No substitution or transfer of any prize is allowed. Any depictions of prizes are for illustrative purposes only. Unclaimed prizes of any kind will not be awarded. Limit one (1) prize per household per thirty (30) day period of the entire Sweepstakes Period. All expenses associated with the receipt or use of a prize not specifically mentioned as being included are excluded and are each winner’s sole responsibility. Prizes and prize notifications will only be mailed/shipped to street addresses in the U.S. (including D.C.) or Canada (excluding Quebec). Each winner will receive an IRS Form 1099-MISC from the Sponsor (for the calendar year the prize was received for the total ARV of the prize(s) as determined by the prize coordinator/supplier, or Sponsor, as applicable). If a winner chooses to forfeit their prize and thus not receive an IRS Form 1099-MISC, they must do so prior to receiving the prize as described in this section. Sweepstakes Administrator is not the supplier or guarantor of any prize.   

    

7. General Conditions: This Sweepstakes is governed by these Official Rules and all federal, state, provincial, territorial, and local laws and regulations. After each potential winner has successfully completed Online SPIN ID Number Verification, they will be required to sign, execute, have notarized, and return the original unmodified Affidavit of Eligibility, Liability Release, and Publicity Release, and any other documentation that the Sweepstakes Administrator and/or Sponsor may require (collectively “Affidavit/Release”), within five (5) days after receipt or such potential winner may be disqualified.  By returning a completed Affidavit/Release such Sweepstakes winner, respectively, attests to the provisions stated therein including compliance with these Official Rules. Once submitted, any Wheel Watchers Club Registration Information becomes the sole property of the Sponsor. Notwithstanding anything to the contrary in Sponsor’s privacy policy located at https://www.sonypictures.com/corp/privacy.html, except where prohibited by law, an entrant’s submission of their Wheel Watchers Club Registration Information constitutes permission of such entrant for Sponsor, Sony Pictures Entertainment Inc., Sony Corporation of America, and/or any other affiliate of Sponsor to use such entrant’s name, city and state/province/territory, photo, video, likeness, biographical information, statement, voice and Materials (as defined below) for advertising/trade/publicity purposes throughout the universe, in perpetuity, and in all forms of media now known or hereinafter devised (including but not limited to (i) posting on the Website (ii) posting on any of Sponsor’s and its affiliates’ social channels such as Facebook, Instagram, and X, the platform formerly known as Twitter (and future social channels to be launched), (iii) included in Sponsor’s emails, newsletter, mobile app, SMS, as well as print, and (iv) posting in Sony-owned or operated buildings), without further notice, permission or compensation (other than the Sweepstakes prize(s) awarded, as applicable, to verified Sweepstakes prize winners) in connection with the Show, Wheel Watchers Club and/or Sweepstakes, or the prizes awarded, and the advertising and marketing thereof and of Sponsor and/or its affiliates, assigns and/or licensees. For the avoidance of doubt, the photographs and/or recordings of everything entrants say or do on or in connection with the Wheel Watchers Club and/or Sweepstakes submitted to Sponsor or made/created/developed by Sponsor and/or Sweepstakes prize providers will be owned by the Sponsor, to do with as Sponsor wishes at any time in the future, as often as Sponsor wishes. Entrants hereby represent and warrant that (a) entrants own or control the rights to any and all personal photography, personal property, videos (including, but not limited to, video from cell phones and tapeless recorders) or other materials (the “Materials”) that entrants provide to Sponsor and/or its affiliates, assigns and/or licensees, and (b) that entrants have obtained all necessary releases from third parties that appear in said Materials.

    

   Additionally, if an entrant chooses to opt-in to receive communications from a participating Sweepstakes Entity, their Wheel Watchers Club Registration Information will be subject to their respective privacy policies and terms of service and entrant agrees to receive email and possibly mail communication from those companies regarding company news and promotions. Personal information collected from Canadians will only be used for Sweepstakes administrative purposes unless their express consent has been obtained beforehand. Opting in to specific offers does not improve one’s chances of winning. The privacy policy for any Sweepstakes Entity participating in an opt-in will be accessible from the Sweepstakes entry form, as applicable. Entrants understand, agree, and consent that any personally identifiable information provided to the Sweepstakes Administrator may be retained and used for the purposes of this Sweepstakes (including but not limited to any record keeping, tax forms, state registrations, and/or any prize fulfillment related obligations). The Sweepstakes Administrator does not and will not sell the personally identifiable information of any entrant or winner. Furthermore, the Sweepstakes Administrator will not share or disclose any personally identifiable information to any third-party company or business unrelated to the Sweepstakes. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the registration process or the operation of the Sweepstakes or any web page related to the Sweepstakes; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person in connection with the Sweepstakes. Any person attempting to defraud or in any way tamper with this Sweepstakes will be ineligible to win a prize and will be prosecuted to the full extent of the law. If, for any reason, the Sweepstakes is not capable of running as originally planned (e.g., Show schedule changes or production shutdowns), Sponsor, in its sole discretion, reserves the right to cancel, suspend or modify the Sweepstakes or any portion(s) thereof; and, in its sole discretion, Sponsor may conduct any or all of the drawings for the Sweepstakes and make prizes available in a manner that is fair, consistent, and in accordance with the spirit of the Sweepstakes. In the event of a production shutdown (due to any reason as set forth in Section 8, including without limitation, COVID-19 and its variants), rerun episodes may be aired in lieu of original episodes. If such rerun episodes do not include the Mystery Wedge element (as detailed in Section 5 above), then no potential winner(s) will be aired for said episodes. Sponsor will make best effort to assure that notice of such action by the Sponsor will be posted on the Website as well as any applicable social media platforms. In case of a dispute over the identity of an entrant who is a potential winner, the authorized account holder of the email address associated with the SPIN ID Number may be deemed, in Sponsor’s sole discretion, the entrant. Said authorized account holder must comply with these Official Rules and, in Sponsor’s sole discretion, may be required to provide proof of ownership of the email account. In case there is further dispute over the identity of an entrant who is a potential winner, the individual associated with that SPIN ID Number, according to Sponsor’s records as of the time of winning, may be deemed, in Sponsor’s sole discretion, the potential winner. Sponsor, in its sole discretion, may also choose to not award a prize if the identity of such potential winner cannot be reasonably determined.

    

8. Disclaimers: The Sweepstakes Entities are not responsible or liable for, and will deem ineligible, registrations that are entered by other than human means (such as by an automated computer program, AI generative technology, or any non-human mechanism, entity, or device), or for any registration and/or Wheel Watchers Club Registration Information that is illegible, late, forged, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, dropped, inaccessible, corrupted, jumbled, or otherwise not in compliance with these Official Rules. By registering or opting in to participate in this Sweepstakes, each entrant acknowledges and agrees (a) to be bound by the Official Rules, as well as the decisions of the Sweepstakes Administrator, which are final and binding in all respects; (b) to waive any rights to claim ambiguity with the Official Rules, and (c) that Sweepstakes Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in this Sweepstakes (including, but not limited to, in the case of Canadian daily sweepstakes prize winners, disputes over answers to mathematical skill test questions; the preemption, cancellation, interruption of Show or any elements of Show as it relates to the Sweepstakes); changes in Show schedule which may affect the SPIN ID Number available for verification on the Website and a winner’s ability to complete Online SPIN ID Number Verification; human error; incorrect or inaccurate transcription of Wheel Watchers Club Registration Information; acceptance/possession and/or use/misuse of any prize awarded herein; any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, internet service provider; interruption or inability to access the Sweepstakes, any web page associated with the Sweepstakes (or Sponsor’s/Sweepstakes Administrators’ inability to access content on the Website), or any online service via the internet due to hardware or software compatibility problems; wireless network dead zones or obstructions, any damage to entrant’s (or any third person’s) computer/mobile device and/or its contents related to or resulting from any part of this Sweepstakes; any lost/delayed/duplicate/multiple data transmissions (including those related to the assignment and/or delivery of SPIN ID Numbers to members as applicable), omissions, interruptions, defects and/or any other errors or malfunctions, even if caused by the negligence of one of the Sweepstakes Entities. Entrants (including, but not limited to, participants who do not fully complete the entry process to Sponsor’s sole satisfaction) further agree to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes due to their negligence or willful misconduct, to release all rights to bring any claim, action or proceeding against the Sweepstakes Entities, and hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize (if applicable). Sweepstakes Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused by or have contributed to (1) any wrongful, negligent or unauthorized act or omission on the part of a prize supplier (if applicable) or any of its agents, servants, employees or independent contractors, (2) any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of Sponsor, (3) any other cause, condition or event whatsoever beyond the control of the Sponsor or its parents, subsidiaries and affiliated companies, or (4) COVID-19 and its variants. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, demonstrations, riot, earthquake, terrorism, act of public enemies, strikes, actions of governmental authorities, epidemics, pandemics, or any circumstances outside of the control of Sponsor (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.

ARBITRATION; WAIVER OF INJUNCTIVE RELIEF; GOVERNING LAW:  ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO (I) THE SWEEPSTAKES, (II) THE AWARDING OR REDEMPTION OF ANY PRIZES AND/OR (III) THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THESE OFFICIAL RULES OR THEIR ENFORCEMENT OR INTERPRETATION SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE SUBSTANTIVE LAWS OF THE STATE OF CALIFORNIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.  BY ENTERING THIS SWEEPSTAKES, EACH ENTRANT AGREES THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THESE OFFICIAL RULES, THEIR ENFORCEMENT, ARBITRABILITY OR INTERPRETATION SHALL BE SUBMITTED TO FINAL AND BINDING ARBITRATION, TO BE HELD IN LOS ANGELES COUNTY, CALIFORNIA, U.S.A., BEFORE A SINGLE ARBITRATOR, IN ACCORDANCE WITH CALIFORNIA CODE OF CIVIL PROCEDURE §§ 1280 ET SEQ.  THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES WITH THE AGREEMENT OF THE PARTIES’ ADR SERVICES).  IF THE PARTIES STILL CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR SHALL BE APPOINTED BY THE ARBITRATION SERVICE. THE ARBITRATION SHALL BE A CONFIDENTIAL PROCEEDING, CLOSED TO THE GENERAL PUBLIC.  THE ARBITRATOR SHALL ISSUE A WRITTEN OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE ARBITRATOR’S AWARD IS BASED. THE PARTIES WILL SHARE EQUALLY IN PAYMENT OF THE ARBITRATOR’S FEES AND ARBITRATION EXPENSES AND ANY OTHER COSTS UNIQUE TO THE ARBITRATION HEARING (RECOGNIZING THAT EACH SIDE BEARS ITS OWN DEPOSITION, WITNESS, EXPERT AND ATTORNEYS’ FEES AND OTHER EXPENSES TO THE SAME EXTENT AS IF THE MATTER WERE BEING HEARD IN COURT). NOTWITHSTANDING THE FOREGOING, THE ARBITRATOR MAY REQUIRE THAT SUCH FEES BE BORNE IN SUCH OTHER MANNER AS THE ARBITRATOR DETERMINES IS REQUIRED IN ORDER FOR THIS ARBITRATION CLAUSE TO BE ENFORCEABLE UNDER APPLICABLE LAW.  

ENTRANTS FURTHER UNDERSTAND AND AGREE THAT THEY SHALL HAVE NO RIGHT TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, ADVERTISING, PROMOTION, DISTRIBUTION OR EXPLOITATION OF THE SWEEPSTAKES, OR ANY MOVIE, SHOW, PRODUCTION OR PROJECT OF SPONSOR OR ANY OF ITS PARENTS, SUBSIDIARIES OR AFFILIATES.

THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER SOUNDING IN CONTRACT OR TORT, AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF.  THE PARTIES ACKNOWLEDGE THAT THE PROVISIONS OF THIS SECTION ARE CURRENTLY UNENFORCEABLE UNDER CALIFORNIA LAW BUT MUTUALLY INTEND FOR THIS SECTION TO APPLY IN THE EVENT SUCH PROVISIONS LATER BECOME ENFORCEABLE UNDER CALIFORNIA LAW.

THE INTERNAL SUBSTANTIVE LAWS (AS DISTINGUISHED FROM THE CHOICE OF LAW RULES) OF THE STATE OF CALIFORNIA AND THE UNITED STATES OF AMERICA APPLICABLE TO CONTRACTS MADE AND PERFORMED ENTIRELY IN CALIFORNIA SHALL GOVERN THE VALIDITY AND INTERPRETATION OF THESE OFFICIAL RULES AND ALL OTHER CAUSES OF ACTION (WHETHER SOUNDING IN CONTRACT OR IN TORT) ARISING OUT OF OR RELATING TO THE SWEEPSTAKES OR THESE OFFICIAL RULES.

Box 6493, Burbank, CA 91510.  All requests must be received by March 19, 2025.  Official Rules will also be accessible from the Wheel Watchers Club Website during the Sweepstakes Period.  The winners list may also be posted online.
